3. Any amendment made by the guarantor in the terms and conditions of the guarantee shall be effective in respect of the beneficiary only if agreed to by the beneficiary and in respect of the principal or the instructing party, as the case may be, only if agreed to by the principal or the instructing party, as the case may be.


Article 8. Submission of Claim


1. A claim under a guarantee shall be made in writing or by cable or telegram or telex to be received by the guarantor not later than on the expiry date specified in the guarantee or provided for by these Rules.

2. On receipt of a claim the guarantor shall notify the principal or the instructing party, as the case may be, without delay, of such claim and of any documentation received.

3. A claim shall not be honoured unless

a) it has been made and received as required by para. 1 of this Article; and

b) it is supported by such documentation as is specified in the guarantee or in these Rules; and

c) such documentation is presented within the period of time after the receipt of a claim specified in the guarantee, or, failing such a specification, as soon as practicable, or, in the case of documentation of the beneficiary himself, at the latest within six months from the receipt of a claim.

In any event, a claim shall not be honoured if the guarantee has ceased to be valid in accordance with its own terms or with these Rules.


Article 9. Documentation to Support Claim


If a guarantee does not specify the documentation to be produced in support of a claim or merely specifies only a statement of claim by the beneficiary, the beneficiary must submit:

a) in the case of a tender guarantee, his declaration that the principal's tender has been accepted and that the principal has then either failed to sign the contract or has failed to submit a performance guarantee as provided for in the tender, and his declaration of agreement, addressed to the principal, to have any dispute on any claim by the principal for payment to him by the beneficiary of all or part of the amount paid under the guarantee settled by a judicial or arbitral tribunal as specified in the tender documents or, if not so specified or otherwise agreed upon, by arbitration in accordance with the Rules of the ICC Court of Arbitration or with the UNCITRAL Arbitration Rules, at the option of the principal;

b) in the case of a performance guarantee or of a repayment guarantee, either a court decision or an arbitral award justifying the claim, or the approval of the principal in writing to the claim and the amount to be paid.


Article 10. Applicable Law


If a guarantee does not indicate the law by which it is to be governed, the applicable law is that of the guarantor's place of business. If the guarantor has more than one place of business, the applicable law is that of the branch which issued the guarantee.


Article 11. Settlement of disputes


1. Any disputes arising in connection with the guarantee may be referred to arbitration by agreement between the guarantor and the beneficiary, either in accordance with the Rules of the ICC Court of Arbitration, the UNCITRAL Arbitration Rules or such other rules of arbitration as may be agreed between the guarantor and the beneficiary.

2. If a dispute between the guarantor and the beneficiary which touches upon the rights and obligations of the principal or the instructing party is referred to arbitration, the principal or the instructing party shall have the right to intervene in such arbitral proceedings.

3. If the guarantor and the beneficiary have not agreed to arbitration or to the jurisdiction of any specific court, any dispute between them relating to the guarantee shall be settled exclusively by the competent court of the country of the guarantor's place of business or, if the guarantor has more than one place of business, by the competent court of the country of his main place of business or, at the option of the beneficiary, by the competent court of the country of the branch which issued the guarantee.


УНИФИЦИРОВАННЫЕ ПРАВИЛА ПО ДОГОВОРНЫМ ГАРАНТИЯМ


Статья 1. Сфера применения


1. Настоящие правила применяются к любой гарантии, поручительству или подобному обязательству, как бы оно ни было названо или обозначено (в дальнейшем - гарантия), в которых указывается на подчинение Унифицированным правилам по тендерным гарантиям, гарантиям исполнения и гарантиям возврата платежа ("Договорные гарантии" Международной Торговой Палаты, публикация N 325), и являются обязательными для всех заинтересованных сторон, если иное прямо не указано в тексте гарантии или в изменениях к ней.

2. В случае, если какое-либо из этих правил противоречит положению права, применимого к гарантии, от которого стороны не могут отступить, это положение превалирует.


Статья 2. Определения


В смысле настоящих Правил:

а) "тендерная гарантия" означает обязательство, выданное банком, страховой компанией или другой стороной ("гарант") по просьбе участника торгов ("принципала") или другой стороны, управомоченной на это принципалом ("инструктирующая сторона"), стороне, объявившей торги ("бенефициар"), по которому гарант обязуется - в случае неисполнения принципалом своих обязательств, вытекающих из представления предложения, произвести платеж бенефициару в пределах указанной суммы денег;

b) "гарантия исполнения" означает обязательство, выданное банком, страховой компанией или другой стороной ("гарант") по просьбе поставщика товаров или услуг, или другого подрядчика ("принципал"), или в соответствии с инструкциями банка, страховой компании или другой стороны, уполномоченной на это принципалом ("инструктирующая сторона") покупателю или заказчику ("бенефициар"), по которому гарант обязуется - в случае ненадлежащего исполнения принципалом условий контракта, заключенного между принципалом и бенефициаром ("контракт") - произвести платеж бенефициару в пределах указанной суммы денег или, если это предусмотрено в гарантии, по выбору гаранта, обеспечить исполнение контракта;

с) "гарантия возврата платежей" означает обязательство, выданное банком, страховой компанией или другой стороной ("гарант") по просьбе поставщика товаров или услуг или другого подрядчика ("принципал"), или в соответствии с инструкциями банка, страховой компании или другой стороны, уполномоченной на это принципалом ("инструктирующая сторона") покупателю или заказчику ("бенефициар"), по которому гарант обязуется - в случае невыполнения принципалом обязательств возместить, в соответствии с условиями контракта между принципалом и бенефициаром ("контракт") какую-либо сумму или суммы, авансированные или выплаченные бенефициаром принципалу и так или иначе не возвращенные ему, - произвести платеж бенефициару в пределах указанной суммы денег.


Статья 3. Ответственность гаранта перед бенефициаром


1. Гарант несет ответственность перед бенефициаром только в соответствии с условиями, предусмотренными в гарантии и настоящих Правилах, и в пределах суммы, не превышающей сумму, указанную в гарантии.

2. Сумма обязательства, указанная в гарантии, не может быть сокращена по причине частичного исполнения контракта, если только это специально не предусмотрено в гарантии.

3. Гарант может полагаться только на те средства защиты, которые основаны на условиях, указанных в гарантии или допущенных настоящими Правилами.


Статья 4. Конечный срок для предъявления претензии


Если в гарантии не указана конечная дата для получения гарантом претензии, то таким конечным сроком (срок действия) будет:

а) для тендерной гарантии - шесть месяцев от даты выдачи гарантии;

b) для гарантии исполнения - шесть месяцев от предусмотренной в договоре даты поставки или завершения работ или их пролонгации, либо один месяц после истечения эксплуатационного периода (гарантийного периода), предусмотренного в контракте, если такой период покрывается гарантией исполнения;

с) для гарантии возврата платежей - шесть месяцев от предусмотренной в контракте даты поставки или завершения работ или их пролонгации.

Если срок действия заканчивается в нерабочий день, то последняя дата продлевается до первого следующего рабочего дня.


Статья 5. Срок действия гарантии


1. Если до окончания срока действия гарантии гарант не получил какой-либо претензии, либо если претензия, вытекающая из гарантии, была урегулирована путем полного удовлетворения всех прав бенефициара по гарантии, гарантия теряет силу.

2. Несмотря на положения статьи 4, по тендерным гарантиям:

а) тендерная гарантия теряет силу, как только бенефициар, путем выдачи подряда, примет предложение принципала и, если это предусмотрено письменным контрактом или если никакой контракт не был подписан, но это предусмотрено условиями тендера, как только принципал представил гарантию исполнения или, если такой гарантии не требуется, как только контракт будет подписан принципалом;

b) тендерная гарантия также теряет силу в случае, когда подряд, к которому она относится, выдается другому участнику тендера, независимо от того, выполнит этот участник тендера требования, предусмотренные в параграфе 2(а) настоящей статьи, или нет;

c) тендерная гарантия также теряет силу в случае, если бенефициар прямо заявит, что не намерен выдавать подряд.


Статья 6. Возврат гарантии


Когда гарантия теряет силу в соответствии с ее собственными условиями или настоящими Правилами, оставление документа, представляющего собой гарантию, у бенефициара само по себе не означает предоставления ему каких-либо прав, и документ должен быть возвращен гаранту без задержки.


Статья 7. Изменения в контрактах и в гарантиях


1. Тендерная гарантия действительна только в отношении первоначального предложения, представленного принципалом, и не применяется в случае внесения в указанное предложение каких-либо изменений, а также она не будет действовать свыше срока действия, указанного в гарантии или предусмотренного настоящими Правилами, если только гарант не известит бенефициара в письменной форме, или по телеграфу, или телеграммой, или по телексу о применении гарантии к измененному предложению или о продлении срока действия гарантии.

2. В гарантии исполнения или гарантии возврата платежей может быть предусмотрено, что она не будет действительна в отношении каких-либо изменений в контракте или что о каждом таком изменении гаранту должно быть заявлено для получения его одобрения. При отсутствии такой оговорки гарантия будет действительна в отношении обязательств принципала таким образом, как это предусмотрено в контракте или в каком-либо изменении к нему.

Однако гарантия не будет действительна в случае превышения указанной в гарантии суммы или свыше срока действия, указанного в гарантии или предусмотренного настоящими Правилами, если только гарант не уведомит бенефициара письменно, или по телеграфу, или телеграммой, или по телексу, что сумма была увеличена до указанной цифры или что срок действия был продлен.

3. Любое изменение, внесенное гарантом в условия гарантии, будет действительно для бенефициара только при его согласии, а для принципала и инструктирующей стороны, в зависимости от случая, только при согласии принципала или инструктирующей стороны соответственно.


Статья 8. Предъявление претензии


1. Претензия по гарантии должна быть совершена в письменной форме, или по телеграфу, или телеграммой, или по телексу и получена гарантом не позднее срока действия, указанного в гарантии или предусмотренного настоящими Правилами.

2. По получении претензии гарант должен без промедления сообщить принципалу или инструктирующей стороне соответственно о получении такой претензии и о любой полученной документации.

3. Претензия не будет удовлетворена, кроме случаев:

а) когда она была совершена и получена в соответствии с требованиями пункта 1 настоящей статьи, и

b) когда она обоснована такой документацией, которая предусмотрена в гарантии или настоящих Правилах; и

с) когда такая документация представлена в период времени после получения претензии, указанной в гарантии, либо, при отсутствии такого указания, так скоро, как это практически возможно, или, в случае, если речь идет о документации самого бенефициара, самое позднее - в течение шести месяцев от получения претензии.

В любом случае претензия не будет удовлетворена, если гарантия утратила силу в соответствии с содержащимися в ней условиями или в соответствии с настоящими Правилами.


Статья 9. Документация, обосновывающая претензию


Если в гарантии не указана документация, которая должна быть представлена в обоснование претензии, или если в гарантии предусмотрено лишь представление заявления бенефициара о претензии, бенефициар должен представить:

а) по тендерной гарантии - свое заявление, с указанием о принятии предложения принципала и о том, что принципал после этого либо не подписал контракт, либо не представил гарантию исполнения в соответствии с условиями тендера, а также свое заявление, адресованное принципалу, подтверждающее свое согласие на рассмотрение какого-либо спора по любой претензии принципала о возврате ему бенефициаром всей или части суммы, выплаченной по гарантии, в суде или арбитраже, указанном в тендерных документах, либо при отсутствии такой оговорки или иной договоренности - в арбитраже в соответствии с Правилами об Арбитражном суде Международной Торговой Палаты или в соответствии с Арбитражным Регламентом ЮНСИТРАЛ по выбору принципала;

b) в случае гарантии исполнения или гарантии возврата платежей - решение суда или арбитража, удовлетворяющее иск, либо письменное согласие принципала с претензией и с суммой, подлежащей выплате.


Статья 10. Применимое право


Если в гарантии не указано право, которому она подчиняется, применимым правом будет право местонахождения гаранта. В случае, если у гаранта более одного местонахождения, применимое право будет определяться по месту нахождения отделения, выдавшего гарантию.


Статья 11. Разрешение споров


1. Любой спор, возникающий в связи с гарантией, может быть передан в арбитраж по соглашению между гарантом и бенефициаром, либо в соответствии с Правилами об Арбитражном суде Международной Торговой Палаты, Арбитражным Регламентом спор между ними в отношении гарантии будет решаться исключительно компетентным судом в стране местонахождения гаранта, а в случае, если у гаранта более одного местонахождения, компетентным судом страны его основного местонахождения или, по выбору бенефициара, компетентым судом страны местонахождения отделения, выдавшего гарантию.

UNIFORM RULES FOR DEMAND GUARANTEES


A. Scope and Application of the Rules


Article 1


These Rules apply to any demand guarantee and amendment thereto which a Guarantor (as hereinafter described) has been instructed to issue and which states that it is subject to the Uniform Rules for Demand Guarantees of the International Chamber of Commerce (Publication No. 458) and are binding on all parties thereto except as otherwise expressly stated in the Guarantee or any amendment thereto.


B. Definitions and General Provisions


Article 2


a) For the purpose of these Rules, a demand guarantee (hereinafter referred to as "Guarantee") means any guarantee, bond or other payment undertaking, however named or described, by a bank, insurance company or other body or person (hereinafter called "the Guarantor") given in writing for the payment of money on presentation in conformity with the terms of the undertaking of a written demand for payment and such other document(s) (for example, a certificate by an architect or engineer, a judgement or an arbitral award) as may be specified in the Guarantee, such undertaking being given

i) at the request or on the instructions and under the liability of a party (hereinafter called "the Principal"); or

ii) at the request or on the instructions and under the liability of a bank, insurance company or any other body or person (hereinafter "the Instructing Party") acting on the instructions of a Principal to another party (hereinafter the "Beneficiary").

b) Guarantees by their nature are separate transactions from the contract(s) or tender conditions on which they may be based, and Guarantors are in no way concerned with or bound by such contract(s), or tender conditions, despite the inclusion of a reference to them in the Guarantee. The duty of a Guarantor under a Guarantee is to pay the sum or sums therein stated on the presentation of a written demand for payment and other documents specified in the Guarantee which appear on their face to be in accordance with the terms of the Guarantee.

c) For the purpose of these Rules, "Counter-Guarantee" means any guarantee, bond or other payment undertaking of the Instructing Party, however named or described, given in writing for the payment of money to the Guarantor on presentation in conformity with the terms of the undertaking of a written demand for payment and other documents specified in the Counter-Guarantee which appear on their face to be in accordance with the terms of the Counter-guarantee. Counter-Guarantees are by their nature separate transactions from the Guarantees to which they relate and from any underlying contract(s) or tender conditions, and Instructing Parties are in no way concerned with or bound by such Guarantees, contract(s) or tender conditions, despite the inclusion of a reference to them in the Counter-Guarantee.

d) The expressions "writing" and "written" shall include an authenticated teletransmission or tested electronic data interchange ("EDI") message equivalent thereto.


Article 3


All instructions for the issue of Guarantees and amendments thereto and Guarantees and amendments themselves should be clear and precise and should avoid excessive detail. Accordingly, all Guarantees should stipulate:

a) the Principal;

b) the Beneficiary;

c) the Guarantor;

d) the underlying transaction requiring the issue of the Guarantee;

e) the maximum amount payable and the currency in which it is payable;

f) the Expiry Date and/or Expiry Event of the Guarantee;

g) the terms for demanding payment;

h) any provision for reduction of the guarantee amount.


Article 4


The Beneficiary's right to make a demand under a Guarantee is not assignable unless expressly stated in the Guarantee or in an amendment thereto.

This Article shall not, however, affect the Beneficiary's right to assign any proceeds to which he may be, or may become, entitled under the Guarantee.


Article 5


All Guarantees and Counter-Guarantees are irrevocable unless otherwise indicated.


Article 6


A Guarantee enters into effect as from the date of its issue unless its terms expressly provide that such entry into effect is to be at a later date or is to be subject to conditions specified in the Guarantee and determinable by the Guarantor on the basis of any documents therein specified.


Article 7


a) Where a Guarantor has been given instructions for the issue of a Guarantee but the instructions are such that, if they were to be carried out, the Guarantor would by reason of law or regulation in the country of issue be unable to fulfil the terms of the Guarantee, the instructions shall not be executed and the Guarantor shall immediately inform the party who gave the Guarantor his instructions by telecommunication, or, if that is not possible, by other expeditious means, of the reasons for such inability and request appropriate instructions from that party.

b) Nothing in this Article shall oblige the Guarantor to issue a Guarantee where the Guarantor has not agreed to do so.


Article 8


A Guarantee may contain express provision for reduction by a specified or determinable amount or amounts on a specified date or dates or upon presentation to the Guarantor of the document(s) specified for this purpose in the Guarantee.


C. Liabilities and Responsibilities
Article 9


All documents specified and presented under a Guarantee, including the demand, shall be examined by the Guarantor with reasonable care to ascertain whether or not they appear on their face to conform with the terms of the Guarantee. Where such documents do not appear so to conform or appear on their face to be inconsistent with one another, they shall be refused.


Article 10


a) A Guarantor shall have a reasonable time within which to examine a demand under a Guarantee and to decide whether to pay or to refuse the demand.

b) If the Guarantor decides to refuse a demand, he shall immediately give notice thereof to the Beneficiary by teletransmission, or, if that is not possible, by other expeditious means. Any documents presented under the Guarantee shall be held at the disposal of the Beneficiary.


Article 11


Guarantors and Instructing Parties assume no liability or responsibility for the form, sufficiency, accuracy, genuineness, falsification, or legal effect of any document presented to them or for the general and/or particular statements made therein, nor for the good faith or acts or omissions of any person whomsoever.


Article 12


Guarantors and Instructing Parties assume no liability or responsibility for the consequences arising out of delay and/or loss in transit of any messages, letters, demands or documents, or for delay, mutilation or other errors arising in the transmission of any telecommunication. Guarantors and Instructing Parties assume no liability for errors in translation or interpretation of technical terms and reserve the right to transmit Guarantee texts or any parts thereof without translating them.


Article 13


Guarantors and Instructing Parties assume no liability or responsibility for consequences arising out of the interruption of their business by acts of God, riots, civil commotions, insurrections, wars or any other causes beyond their control or by strikes, lock-outs or industrial actions of whatever nature.


Article 14


a) Guarantors and Instructing Parties utilising the services of another party for the purpose of giving effect to the instructions of a Principal do so for the account and at the risk of that Principal.

b) Guarantors and Instructing Parties assume no liability or responsibility should the instructions they transmit not be carried out even if they have themselves taken the initiative in the choice of such other party.

c) The Principal shall be liable to indemnify the Guarantor or the Instructing Party, as the case may be, against all obligations and responsibilities imposed by foreign laws and usages.


Article 15


Guarantors and Instructing Parties shall not be excluded from liability or responsibility under the terms of Articles 11, 12, and 14 above for their failure to act in good faith and with reasonable care.


Article 16


A Guarantor is liable to the Beneficiary only in accordance with the terms specified in the Guarantee and any amendment(s) thereto and in these Rules, and up to an amount not exceeding that stated in the Guarantee and any amendment(s) thereto.


D. Demands
Article 17


Without prejudice to the terms of Article 10, in the event of a demand the Guarantor shall without delay so inform the Principal or, where applicable, his Instructing Party, and in that case the Instructing Party shall so inform the Principal.


Article 18


The amount payable under a Guarantee shall be reduced by the amount of any payment made by the Guarantor in satisfaction of a demand in respect thereof and, where the maximum amount payable under a Guarantee has been satisfied by payment and/or reduction, the Guarantee shall thereupon terminate whether or not the Guarantee and any amendment(s) thereto are returned.


Article 19


A demand shall be made in accordance with the terms of the Guarantee before its expiry, that is, on or before its Expiry Date and before any Expiry Event as defined in Article 22. In particular, all documents specified in the Guarantee for the purpose of the demand, and any statement required by Article 20, shall be presented to the Guarantor before its expiry at its place of issue; otherwise the demand shall be refused by the Guarantor.


Article 20


a) Any demand for payment under the Guarantee shall be in writing and shall (in addition to such other documents as may be specified in the Guarantee) be supported by a written statement (whether in the demand itself or in a separate document or documents accompanying the demand and referred to in it) stating:

(i) that the Principal is in breach of his obligation(s) under the underlying contract(s) or, in the case of a tender guarantee, the tender conditions; and

(ii) the respect in which the Principal is in breach.

a) Any demand under the Counter-Guarantee shall be supported by a written statement that the Guarantor has received a demand for payment under the Guarantee in accordance with its terms and with this Article.

b) Paragraph (a) of this Article applies except to the extent that it is expressly excluded by the terms of the Guarantee. Paragraph (b) of this Article applies except to the extent that it is expressly excluded by the terms of the Counter-Guarantee.

c) Nothing in this Article affects the application of Articles 2(b) and 2(c), 9 and 11.


Article 21


The Guarantor shall without delay transmit the Beneficiary's demand and any related documents to the Principal or, where applicable, to the Instructing Party for transmission to the Principal.


E. Expiry Provisions
Article 22


Expiry of the time specified in a Guarantee for the presentation of demands shall be upon a specified calendar date ("Expiry Date") or upon presentation to the Guarantor of the document(s) specified for the purpose of expiry ("Expiry Event"). If both an Expiry Date and an Expiry Event are specified in a Guarantee, the Guarantee shall expire on whichever of the Expiry Date or Expiry Event occurs first, whether or not the Guarantee and any amendment(s) thereto are returned.


Article 23


Irrespective of any expiry provision contained therein, a Guarantee shall be cancelled on presentation to the Guarantor of the Guarantee itself or the Beneficiary"s written statement of release from liability under the Guarantee, whether or not, in the latter case, the Guarantee or any amendments thereto are returned.


Article 24


Where a Guarantee has terminated by payment, expiry, cancellation or otherwise, retention of the Guarantee or of any amendments thereto shall not preserve any rights of the Beneficiary under the Guarantee.


Article 25


Where to the knowledge of the Guarantor the Guarantee has terminated by payment, expiry, cancellation or otherwise, or there has been a reduction of the total amount payable thereunder, the Guarantor shall without delay so notify the Principal or, where applicable, the Instructing Party and, in that case, the Instructing Party shall so notify the Principal.


Article 26


If the Beneficiary requests an extension of the validity of the Guarantee as an alternative to a demand for payment submitted in accordance with the terms and conditions of the Guarantee and these Rules, the Guarantor shall without delay so inform the party who gave the Guarantor his instructions. The Guarantor shall then suspend payment of the demand for such time as is reasonable to permit the Principal and the Beneficiary to reach agreement on the granting of such extension and for the Principal to arrange for such extension to be issued.

Unless an extension is granted within the time provided by the preceding paragraph, the Guarantor is obliged to pay the Beneficiary"s conforming demand without requiring any further action on the Beneficiary"s part. The Guarantor shall incur no liability (for interest or otherwise) should any payment to the Beneficiary be delayed as a result of the above-mentioned procedure.

Even if the Principal agrees to or requests such extension, it shall not be granted unless the Guarantor and the Instructing Party or Parties also agree thereto.


F. Governing Law and Jurisdiction
Article 27


Unless otherwise provided in the Guarantee or Counter-guarantee, its governing law shall be that of the place of business of the Guarantor or Instructing Party (as the case may be), or, if the Guarantor or Instructing Party has more than one place of business, that of the branch that issued the Guarantee or Counter-Guarantee.


Article 28


Unless otherwise provided in the Guarantee or Counter-guarantee, any dispute between the Guarantor and the Beneficiary relating to the Guarantee or between the Instructing Party and the Guarantor relating to the Counter-Guarantee shall be settled exclusively by the competent court of the country of the place of business of the Guarantor or Instructing Party (as the case may be), or, if the Guarantor or Instructing Party has more than one place of business, by the competent court of the country of the branch which issued the Guarantee or Counter-guarantee.

А. Сфера применения правил


Статья 1


Настоящие правила применяются к любой гарантии или дополнению к ней, которую гарант обязался выдать, в которой указано, что она составлена в соответствии с настоящими Правилами (публикация МТП N 458) и обязательна для всех сторон в гарантийном обязательстве, если иное прямо не указано в гарантии или дополнении к ней.


В. Определения и общие положения
Статья 2


а) Для целей настоящих правил гарантия по первому требованию (в дальнейшем - гарантия) означает любую гарантию или платежное обязательство банка, страховой компании или другого юридического или физического лица (в дальнейшем - гарант), выданную в письменной форме и содержащую обязательство выплатить денежную сумму в случае представления письменного платежного требования, составленного в соответствии с условиями гарантии, а также других документов (например, сертификата, выданного архитектором или инженером, судебного или арбитражного решения), если такое обязательство выдано:

1) по приказу и под ответственность одной стороны (в дальнейшем - принципал); или

2) по приказу или под ответственность банка, страховой компании или любого другого юридического или физического лица (в дальнейшем - эмитент), действующего по приказу принципала, в пользу другой стороны (в дальнейшем - бенефициар).

б) Гарантия по своей природе является самостоятельным соглашением, независимым от основного контракта или тендера, на которых она основывается, поэтому гарант никаким образом не связан таким контрактом или тендером, несмотря на то, что ссылка на них содержится в тексте гарантии. Обязанность гаранта - уплатить денежную сумму, указанную в гарантии, по представлении письменного требования платить и других документов, указанных в гарантии, которые по внешним признакам соответствуют условиям, описанным в гарантии.

в) Для целей настоящих Правил контргарантия означает любую гарантию или платежное обязательство эмитента, выданную в письменной форме и содержащую обязательство выплатить денежную сумму в случае представления письменного платежного требования, составленного в соответствии с ее условиями, а также других документов, которые по внешним признакам отвечают условиям, описанным в ней. Контргарантия является по своей природе самостоятельным соглашением, независимым от гарантии, к которой относится, и от основного контракта или тендера. Эмитент никаким образом не связан условиями такой гарантии, контракта или тендера, несмотря на то, что ссылка на них содержится в тексте контргарантии.

г) Выражение "в письменной форме" включает электронную документацию, а также телеграммы, телексы, телефаксы.


Статья 3


Все указания по выдаче гарантий и дополнений к ним, а также тексты самих гарантий и дополнений должны быть ясными, точными и исключать спорные моменты. Все гарантии должны содержать следующие обязательные условия:

1) наименование принципала;

2) наименование бенефициара;

3) наименование гаранта;

4) ссылку на основной контракт, в котором предусмотрена необходимость выдачи гарантии;

5) максимальную денежную сумму, подлежащую выплате, и валюту платежа;

6) срок, на который выдана гарантия, или событие, при наступлении которого прекращается гарантийное обязательство;

7) условия, на основании которых осуществляется платеж;

8) положение, направленное на сокращение суммы гарантийных выплат.


Статья 4


Право бенефициара требовать выплаты денежной суммы, обусловленной в гарантии, не может быть передано другому лицу, если иное прямо не указано в гарантии или дополнении к ней. Однако настоящая статья не затрагивает права бенефициара передать другому лицу выручку, которую он может получить в соответствии с гарантией.


Статья 5


Все гарантии и контргарантии являются безотзывными, если в них не указано иное.


Статья 6


Гарантия вступает в силу с момента ее выдачи, если в ней не предусмотрено иное. В гарантии может быть указан более поздний срок ее вступления в силу, кроме того, он обусловлен может быть самим гарантом при наличии определенных документов.


Статья 7


а) Если гарант получил указание выдать гарантию, но в соответствии с правом страны, в которой должна быть выдана гарантия, гарант не может выполнить ее условий, он, не следуя полученным указаниям, должен немедленно известить принципала посредством телекоммуникационной связи или другим образом о причинах невозможности их выполнения, и попросить надлежащих указаний.

б) Ничто в настоящей статье не обязывает гаранта выбрать гарантию, если на то нет его согласия.


Статья 8


Гарантия может содержать положение о сокращении гарантийной суммы на определенную величину в силу наступления определенного срока или представления гаранту документов, предназначенных для этой цели.


С. Ответственность
Статья 9


Все документы, представляемые в соответствии с гарантией, включая платежное требование, должны быть проверены гарантом с надлежащим вниманием, для того, чтобы определить, соответствуют ли они по внешним признакам условиям гарантии. Если такие документы не соответствуют по внешним признакам условиям, указанным в гарантии, они должны быть отклонены.


Статья 10


а) Гарант должен иметь разумный срок для проверки платежного требования и для решения вопроса об удовлетворении требования или об отказе в платеже.

б) Если гарант решил отказать в уплате гарантийной суммы, он должен немедленно уведомить об этом бенефициара посредством телекоммуникационной связи или другим способом. Любые документы, представленные на основании гарантии, должны находиться в распоряжении бенефициара.


Статья 11


Гарант и эмитент не несут никакой ответственности за форму, достаточность, аккуратность, истинность и правовой эффект любого документа, представленного им, или за какие-либо заявления, содержащиеся в них, а также за добросовестность или упущения любого лица.


Статья 12


Гарант и эмитент не несут никакой ответственности за последствия, вытекающие из-за задержки или потери в транзите любого сообщения, письма, требования или документов, а также за задержку, искажение и другие ошибки, возникающие при передаче посредством телекоммуникационной связи. Гарант и эмитент не несут никакой ответственности за ошибки в переводе технических терминов и сохраняют за собой право передавать текст гарантии или ее части без перевода.


Статья 13


Гарант и эмитент не несут никакой ответственности за последствия прекращения их деятельности из-за стихийных бедствий, нарушений общественного порядка, гражданских волнений, восстаний, войн и любых других причин, находящихся вне их контроля, а также вследствие забастовок, локаутов или других действий какой бы то ни было природы.


Статья 14


а) Гарант и эмитент, прибегающие к услугам другой стороны для исполнения инструкций принципала, делают это за счет и на риск принципала.

б) Гарант и эмитент не несут никакой ответственности в случае невыполнения инструкций, переданных ими, даже если они сами проявили инициативу в выборе другой стороны.

в) Принципал должен нести ответственность за компенсацию расходов гаранта и эмитента по выполнению гарантийного обязательства.


Статья 15


Ответственность гаранта и эмитента в соответствии со статьями 11, 12 и 14 не исключается в том случае, если они действовали недобросовестно и без должной заботы.


Статья 16


Гарант несет ответственность перед бенефициаром только в соответствии с условиями гарантии, дополнения к ней или настоящими Правилами, и только в размере суммы, не превышающей указанную в гарантии или дополнении к ней.


D. Платежные требования
Статья 17


Без ущерба положениям статьи 10 в случае предъявления требования об уплате гарантийной суммы (платежного требования) гарант должен без промедления уведомить об этом принципала, а если необходимо - эмитента, который в свою очередь уведомляет принципала.


Статья 18


Денежная сумма, выплачиваемая в соответствии с гарантией, должна быть сокращена на сумму любых выплат, сделанных гарантом в удовлетворение платежного требования. Если максимальная денежная сумма, указанная в гарантии, была полностью выплачена на основании платежного требования, то действие гарантии прекращается.


Статья 19


Требование об уплате гарантийной суммы должно быть составлено в соответствии с условиями гарантии до прекращения ее действия, а именно, до истечения срока ее действия, обусловленного календарной датой или наступлением определенного события (статья 22). Все документы, указанные в гарантии и необходимые для предъявления платежного требования, а также любое заявление, требуемое статьей 20, должны быть представлены гаранту до истечения срока действия гарантии в месте ее выдачи; в противном случае платежное требование должно быть отклонено гарантом.


Статья 20


а) Любое платежное требование должно быть сделано в письменной форме в дополнение к документам, определенным в гарантии, и должно включать письменное заявление, находящееся либо в самом тексте требования, либо в отдельных документах. Письменное заявление должно содержать:

1) подтверждение, что принципал нарушил свои обязательства по основному контракту, а в случае тендерной гарантии условия тендера, а также

2) обязательства, которые нарушил принципал.

б) Любое платежное требование по контргарантии должно сопровождаться письменным заявлением, констатирующим факт получения гарантом платежного требования в соответствии с условиями гарантии и настоящей статьей.

в) Пункт "а" настоящей статьи применяется в том случае, если его действие прямо не исключается условиями гарантии. Пункт "б" настоящей статьи применяется в том случае, если его действие прямо не исключается условиями контргарантии.

г) Ничто в настоящей статье не затрагивает применения статей 2б и 2в, 9 и 11.


Статья 21


Гарант должен без промедления передать платежное требование бенефициара и сопровождающие его документы принципалу, а в необходимых случаях - эмитенту для передачи принципалу.


E. Положение о сроке действия гарантии
Статья 22


Окончание периода времени, определенного в гарантии для предъявления платежного требования, обуславливается календарной датой или представлением определенных документов гаранту. Если календарная дата и документы, обуславливающие действия гарантии, указаны в ней, то она прекращается в зависимости от того, какое событие имело место первым: наступление календарной даты или предъявление определенных документов.


Статья 23


Независимо от положений о сроке действия гарантии, содержащихся в настоящих Правилах, гарантия прекращается на основании представления гаранту самой гарантии или письменного заявления бенефициара об освобождении гаранта от ответственности по гарантийному обязательству.


Статья 24


Если действие гарантии прекращено на основании ее исполнения (выплаты гарантийной суммы), в силу истечения срока действия, аннулирования или другим путем, обладание гарантией или дополнением к ней не сохраняет каких-либо прав бенефициара.


Статья 25


Если действие гарантии прекращено на основании выплаты гарантийной суммы, истечения срока ее действия, аннулирования или другим путем, а также, если имело место сокращение подлежащей уплате суммы, гарант должен незамедлительно сообщить об этом принципалу или, в необходимом случае, - эмитенту, который в свою очередь сообщит об этом принципалу.


Статья 26


Если бенефициар требует продления срока действия гарантии в качестве альтернативы предъявлению платежного требования в соответствии с условиями гарантии или настоящими Правилами, гарант должен незамедлительно информировать об этом сторону, давшую ему указание выдать гарантию. Гарант должен отложить выплату гарантийной суммы на такой срок, который бы позволил принципалу и бенефициару достичь соглашения о продлении срока действия гарантии, а принципалу - провести необходимые организационные мероприятия.

Если соглашение о продлении действия гарантии не было достигнуто в течение периода времени, указанного в предыдущем абзаце, гарант обязан выплатить гарантийную сумму бенефициару в соответствии с его платежным требованием, не прося более никаких действий с его стороны.

Гарант не несет никакой ответственности в случае, если выплата гарантийной суммы отложена на основании вышеупомянутой процедуры. Даже если принципал выразил согласие на продление срока действия гарантии, он не может быть продлен без согласия гаранта и эмитента.


F. Применимое право и юрисдикция
Статья 27


Если иное не предусмотрено в гарантии или контргарантии, то применимым правом будет право той страны, где расположен центр деловой активности гаранта или эмитента (в случае непрямой гарантии). Если гарант или эмитент имеют несколько центров деловой активности, то применимое право будет определяться местонахождением филиала, выдавшего гарантию или контргарантию.


Статья 28


Если иное не предусмотрено в гарантии или контргарантии, то любой спор между гарантом и бенефициаром, связанный с гарантией, или между эмитентом и гарантом, связанный с контргарантией, будет рассматриваться в компетентном суде той страны, где находится центр деловой активности гаранта или эмитента. Если гарант или эмитент имеют несколько таких центров, то спор будет рассматриваться в компетентном суде той страны, где находится филиал, выдавший гарантию или контргарантию.

А. General Provisions and Definitions


Article 1. Application of URC 522


a. The Uniform Rules for Collections, 1995 Revision, ICC Publication No. 522, shall apply to all collections as defined in Article 2 where such rules are incorporated into the text of the "collection instruction" referred to in Article 4 and are binding on all parties thereto unless otherwise expressly agreed or contrary to the provisions of a national, state or local law and/or regulation which cannot be departed from.

b. Banks shall have no obligation to handle either a collection or any collection instruction or subsequent related instructions.

c. If a bank elects, for any reason, not to handle a collection or any related instructions received by it, it must advise the party from whom it received the collection or the instructions by telecommunication or, if that is not possible, by other expeditious means, without delay.


Article 2. Definition of Collection


For the purposes of these Articles:

a. "Collection" means the handling by banks of documents as defined in sub-Article 2 (b), in accordance with instructions received, in order to:

i. obtain payment and/or acceptance, or

ii. deliver documents against payment and/or against acceptance, or

iii. deliver documents on other terms and conditions.

b. "Documents" means financial documents and/or commercial docu ments:

i. "Financial documents" means bills of exchange, promissory notes, cheques, or other similar instruments used for obtaining the payment of money;

ii. "Commercial documents" means invoices, transport documents, documents of title or other similar documents, or any other docu ments whatsoever, not being financial documents.

c. "Clean collection" means collection of financial documents not accompanied by commercial documents.

d. "Documentary collection" means collection of:

i. Financial documents accompanied by commercial documents;

ii. Commercial documents not accompanied by financial documents.


Article 3. Parties to a Collection


a. For the purposes of these Articles the "parties thereto" are:

i. the "principal" who is the party entrusting the handling of a collection to a bank;

ii. the "remitting bank" which is the bank to which the principal has entrusted the handling of a collection;

iii. the "collecting bank" which is any bank, other than the remitting bank, involved in processing the collection;

iv. the "presenting bank" which is the collecting bank making pre sentation to the drawee.

b. The "drawee" is the one to whom presentation is to be made in accordance with the collection instruction.


B. Form and Structure of Collections


Article 4. Collection Instruction


a. i. All documents sent for collection must be accompanied by a collection instruction indicating that the collection is subject to URC 522 and giving complete and precise instructions. Banks are only permitted to act upon the instructions given in such collection instruction, and in accordance with these Rules.

ii. Banks will not examine documents in order to obtain instruc tions.

iii. Unless otherwise authorised in the collection instruction, banks will disregard any instructions from any party/bank other than the party/bank from whom they received the collection.

b. A collection instruction should contain the following items of information, as appropriate.

i. Details of the bank from which the collection was received inclu ding full name, postal and SWIFT addresses, telex, telephone, facsimile numbers and reference.

ii. Details of the principal including full name, postal address, and if applicable telex, telephone and facsimile numbers.

iii. Details of the drawee including full name, postal address, or the domicile at which presentation is to be made and if applicable telex, telephone and facsimile numbers.

iv. Details of the presenting bank, if any, including full name, postal address, and if applicable telex, telephone and facsimile num bers.

v. Amount(s) and currency(ies) to be collected.

vi. List of documents enclosed and the numerical count of each document.

vii. a. Terms and conditions upon which payment and/or acceptance is to be obtained.

b. Terms of delivery of documents against:

1) payment and/or acceptance

2) other terms and conditions

It is the responsibility of the party preparing the collection instruction to ensure that the terms for the delivery of documents are clearly and unambiguously stated, otherwise banks will not be responsible for any consequences arising therefrom.

viii. Charges to be collected, indicating whether they may be waived or not.

ix. Interest to be collected, it applicable, indicating whether it may be waived or not, including:

a. rate of interest

b. interest period

c. basis of calculation (for example 360 or 365 days in a year) as applicable.

x. Method of payment and form of payment advice.

xi. Instructions in case of non-payment, non-acceptance and/or non-compliance with other instructions.

c. i. Collection instructions should bear the complete address of the drawee or of the domicile at which the presentation is to be made. If the address is incomplete or incorrect, the collecting bank may, without any liability and responsibility on its part, endeavour to ascertain the proper address.

ii. The collecting bank will not be liable or responsible for any ensuing delay as a result of an incomplete/incorrect address being provided.


С. Form of Presentation


Article 5. Presentation


a. For the purposes of these Articles, presentation is the procedure whereby the presenting bank makes the documents available to the drawee as instructed.

b. The collection instruction should state the exact period of time within which any action is to be taken by the drawee.

Expressions such as "first", "prompt", "immediate", and the like should not be used in connection with presentation or with reference to any period of time within which documents have to be taken up or for any other action that is to be taken by the drawee. If such terms are used banks will disregard them.

c. Documents are to be presented to the drawee in the form in which they are received, except that banks are authorised to affix any necessary stamps, at the expense of the party from whom they received the collection unless otherwise instructed, and to make any necessary endorsements or place any rubber stamps or other identifying marks or symbols customary to or required for the collection operation.

d. For the purpose of giving effect to the instructions of the principal, the remitting bank will utilise the bank nominated by the principal as the collecting bank. In the absence of such nomination, the remitting bank will utilise any bank of its own, or another bank's choice in the country of payment or acceptance or in the country where other terms and conditions have to be complied with.

e. The documents and collection instruction may be sent directly by the remitting bank to the collecting bank or through another bank as intermediary.

f. If the remitting bank does not nominate a specific presenting bank, the collecting bank may utilise a presenting bank of its choice.


Article 6. Sight/Acceptance


In the case of documents payable at sight the presenting bank must make presentation for payment without delay.

In the case of documents payable at a tenor other than sight the pre senting bank must, where acceptance is called for, make presentation for acceptance without delay, and where payment is called for, make presentation for payment not later than the appropriate maturity date.


Article 7. Release of Commercial Documents. Documents Against Acceptance (D/A) vs. Documents Against Payment (D/P)


a. Collections should not contain bills of exchange payable at a future date with instructions that commercial documents are to be delivered against payment.

b. If a collection contains a bill of exchange payable at a future date, the collection instruction should state whether the commercial documents are to be released to the drawee against acceptance (D/A) or against payment (D/P).

In the absence of such statement commercial documents wilt be released only against payment and the collecting bank will not be responsible for any consequences arising out of any delay in the delivery of documents.

c. If a collection contains a bill of exchange payable at a future date and the collection instruction indicates that commercial documents are to be released against payment, documents will be released only against such payment and the collecting bank will not be responsible for any consequences arising out of any delay in the delivery of documents.


Article 8. Creation of Documents


Where the remitting bank instructs that either the collecting bank or the drawee is to create documents (bills of exchange, promissory notes, trust receipts, letters of undertaking or other documents) that were not included in the collection, the form and wording of such documents shall be provided by the remitting bank, otherwise the collecting bank shall not be liable or responsible for the form and wording of any such document provided by the collecting bank and/or the drawee.


D. Liabilities and Responsibilities


Article 9. Good Faith and Reasonable Care


Banks will act in good faith and exercise reasonable care.


Article 10. Documents vs. Goods/Services/Performances


a. Goods should not be dispatched directly to the address of a bank or consigned to or to the order of a bank without prior agreement on the part of that bank.

Nevertheless, in the event that goods are dispatched directly to the address of a bank or consigned to or to the order of a bank for release to a drawee against payment or acceptance or upon other terms and conditions without prior agreement on the part of that bank, such bank shall have no obligation to take delivery of the goods, which remain at the risk and responsibility of the party dispatching the goods.

b. Banks have no obligation to take any action in respect of the goods to which a documentary collection relates, including storage and insurance of the goods even when specific instructions are given to do so. Banks will only take such action if, when, and to the extent that they agree to do so in each case. Notwithstanding the provisions of sub-Article 1(c), this rule applies even in the absence of any specific advice to this effect by the collecting bank.

c. Nevertheless, in the case that banks take action for the protection of the goods, whether instructed or not, they assume no liability or responsibility with regard to the fate and/or condition of the goods and/or for any acts and/or omissions on the part of any third parties entrusted with the custody and/or protection of the goods. However, the collecting bank must advise without delay the bank from which the collection instruction was received of any such action taken.

d. Any charges and/or expenses incurred by banks in connection with any action taken to protect the goods will be for the account of the party from whom they received the collection.

e. i. Notwithstanding the provisions of sub-Article 10(a), where the goods are consigned to or to the order of the collecting bank and the drawee has honoured the collection by payment, acceptance or other terms and conditions, and the collecting bank arranges for the release of the goods, the remitting bank shall be deemed to have authorised the collecting bank to do so.

ii. Where a collecting bank on the instructions of the remitting bank or in terms of sub-Article 10(e)i, arranges for the release of the goods, the remitting bank shall indemnify such collecting bank for all damages and expenses incurred.


Article 11. Disclaimer For Acts of an Instructed Party


a. Banks utilising the services of another bank or other banks for the purpose of giving effect to the instructions of the principal, do so for the account and at the risk of such principal.

b. Banks assume no liability or responsibility should the instructions they transmit not be carried out, even if they have themselves taken the initiative in the choice of such other bank(s).

c. A party instructing another party to perform services shall be bound by and liable to indemnify the instructed party against all obligations and responsibilities imposed by foreign laws and usages.


Article 12. Disclaimer on Documents Received


a. Banks must determine that the documents received appear to be as listed in the collection instruction and must advise by telecom munication or, if that is not possible, by other expeditious means, without delay, the party from whom the collection instruction was received of any documents missing, or found to be other than listed. Banks have no further obligation in this respect.

b. If the documents do not appear to be listed, the remitting bank shall be precluded from disputing the type and number of documents received by the collecting bank.

c. Subject to sub-Article 5(c) and sub-Articles 12(a) and 12(b) above, banks will present documents as received without further examination.


Article 13. Disclaimer on Effectiveness of Documents


Banks assume no liability or responsibility for the form, sufficiency, accuracy, genuineness, falsification or legal effect of any document(s), or for the general and/or particular conditions stipulated in the document(s) or superimposed thereon; nor do they assume any liability or responsibility for the description, quantity, weight, quality, condition, packing, delivery, value or existence of the goods represented by any document(s), or for the good faith or acts and/or omissions, solvency, performance or standing of the consignors, the carriers, the forwarders, the consignees or the insurers of the goods, or any other person whom soever.


Article 14. Disclaimer on Delays, Loss in Transit and Translation


a. Banks assume no liability or responsibility for the consequences arising out of delay and/or loss in transit of any message(s), let ter(s) or document(s), or for delay, mutilation or other error(s) arising in transmission of any telecommunication or for error(s) in translation and/or interpretation of technical terms.

b. Banks will not be liable or responsible for any delays resulting from the need to obtain clarification of any instructions received.


Article 15. Force Majeure


Banks assume no liability or responsibility for consequences arising out of the interruption of their business by Acts of God, riots, civil commotions, insurrections, wars, or any other causes beyond their control or by strikes or lockouts.


E. Payment


Article 16. Payment Without Delay


a. Amounts collected (less charges and/or disbursements and/or expenses where applicable) must be made available without delay to the party from whom the collection instruction was received in accordance with the terms and conditions of the collection instruction.

b. Notwithstanding the provisions of sub-Article 1(c) and unless otherwise agreed, the collecting bank will effect payment of the amount collected in favour of the remitting bank only.


Article 17. Payment in Local Currency


In the case of documents payable in the currency of the country of payment (local currency), the presenting bank must, unless otherwise instructed in the collection instruction, release the documents to the drawee against payment in local currency only if such currency is immediately available for disposal in the manner specified in the collection instruction.


Article 18. Payment in Foreign Currency


In the case of documents payable in a currency other than that of the country of payment (foreign currency), the presenting bank must, unless otherwise instructed in the collection instruction, release the documents to the drawee against payment in the designated foreign currency only if such foreign currency can immediately be remitted in accordance with the instructions given in the collection instruction.


Article 19. Partial Payments


a. In respect of clean collections, partial payments may be accepted if and to the extent to which and on the conditions on which partial payments are authorised by the law in force in the place of payment. The financial document(s) will be released to the drawee only when full payment thereof has been received.

b. In respect of documentary collections, partial payments will only be accepted if specifically authorised in the collection instruction. However, unless otherwise instructed, the presenting bank will release the documents to the drawee only after full payment has been received, and the presenting bank will not be responsible for any consequences arising out of any delay in the delivery of documents.

c. In all cases partial payments will be accepted only subject to compliance with the provisions of either Article 17 or Article 18 as appropriate.

Partial payment, if accepted, will be dealt with in accordance with the provisions of Article 16.


F. Interest, Charges and Expenses


Article 20. Interest


a. If the collection instruction specifies that interest is to be collected and the drawee refuses to pay such interest, the presenting bank may deliver the document(s) against payment or acceptance or on other terms and conditions as the case may be, without collecting such interest, unless sub-Article 20(c) applies.

b. Where such interest is to be collected, the collection instruction must specify the rate of interest, interest period and basis of calculation.

c. Where the collection instruction expressly states that interest may not be waived and the drawee refuses to pay such interest the presenting bank will not deliver documents and will not be responsible for any consequences arising out of any delay in the delivery of document(s). When payment of interest has been refused, the presenting bank must inform by telecommunication or, if that is not possible, by other expeditious means without delay the bank from which the collection instruction was received.


Article 21. Charges and Expenses


a. If the collection instruction specifies that collection charges and/or expenses are to be for account of the drawee and the drawee refuses to pay them, the presenting bank may deliver the document(s) against payment or acceptance or on other terms and conditions as the case may be, without collecting charges and/or expenses, unless sub-Article 21(b) applies.

Whenever collection charges and/or expenses are so waived they will be for the account of the party from whom the collection was received and may be deducted from the proceeds.

b. Where the collection instruction expressly states that charges and/or expenses may not be waived and the drawee refuses to pay such charges and/or expenses, the presenting bank will not deliver documents and will not be responsible for any consequences arising out of any delay in the delivery of the document(s). When payment of collection charges and/or expenses has been refused the presenting bank must inform by telecommunication or, if that is not possible, by other expeditious means without delay the bank from which the collection instruction was received.

c. In all cases where in the express terms of a collection instruction or under these Rules, disbursements and/or expenses and/or collection charges are to be borne by the principal, the collecting bank(s) shall be entitled to recover promptly outlays in respect of disbursements, expenses and charges from the bank from which the collection instruction was received, and the remitting bank shall be entitled to recover promptly from the principal any amount so paid out by it, together with its own disbursements, expenses and charges, regardless of the fate of the collection.

d. Banks reserve the right to demand payment of charges and/or expenses in advance from the party from whom the collection instruction was received, to cover costs in attempting to carry out any instructions, and pending receipt of such payment also reserve the right not to carry out such instructions.


G. Other Provisions


Article 22. Acceptance


The presenting bank is responsible for seeing that the form of the acceptance of a bill of exchange appears to be complete and correct, but is not responsible for the genuineness of any signature or for the authority of any signatory to sign the acceptance.


Article 23. Promissory Notes and Other Instruments


The presenting bank is not responsible for the genuineness of any signature or for the authority of any signatory to sign a promissory note, receipt, or other instruments.


Article 24. Protest


The collection instruction should give specific instructions regarding protest (or other legal process in lieu thereof), in the event of non-payment or non-acceptance.

In the absence of such specific instructions, the banks concerned with the collection have no obligation to have the document(s) protested (or subjected to other legal process in lieu thereof) for non-payment or non-acceptance.

Any charges and/or expenses incurred by banks in connection with such protest, or other legal process, will be for the account of the party from whom the collection instruction was received.


Article 25. Case-of-Need


If the principal nominates a representative to act as case-of-need in the event of non-payment and/or non-acceptance the collection instruction should clearly and fully indicate the powers of such case-of-need. In the absence of such indication banks will not accept any instructions from the case-of-need.


Article 26. Advices


Collecting banks are to advise fate in accordance with the following rules:

a. Form of Advice

All advices or information from the collecting bank to the bank from which bank regarding the method by which the advices detailed in (c)i, (c)ii and (c)iii are to be given. In the absence of such instructions, the collecting bank will send the relative advices by the method of its choice at the expense of the bank from which the collection instruction was received.

c. i. ADVICE OF PAYMENT

The collecting bank must send without delay advice of payment to the bank from which the collection instruction was received, detailing the amount or amounts collected, charges and/or disbursements and/or expenses deducted, where appropriate, and method of disposal of the funds.

ii. ADVICE OF ACCEPTANCE

The collecting bank must send without delay advice of acceptance to the bank from which the collection instruction was received.

iii. ADVICE OF NON-PAYMENT AND/OR NON-ACCEPTANCE

The presenting bank should endeavour to ascertain the reasons for non-payment and/or non-acceptance and advise accordingly, without delay, the bank from which it received the collection instruction.

The presenting bank must send without delay advice of non-payment and/or advice of non-acceptance to the bank from which it received the collection instruction.

On receipt of such advice the remitting bank must give appropriate instructions as to the further handling of the documents. If such instructions are not received by the presenting bank within 60 days after its advice of non-payment and/or non-acceptance, the documents may be returned to the bank from which the collection instruction was received without any further responsibility on the part of the presenting bank.


УНИФИЦИРОВАННЫЕ ПРАВИЛА ПО ИНКАССО


А. Общие положения и определения


Статья 1. Применение Унифицированных правил по инкассо


а. Унифицированные правила по инкассо, редакция 1995 г., МТП, публикация N 522, будут применяться ко всем инкассо, как это определено в Статье 2, когда ссылка на эти Правила включена в текст "инкассовых инструкций", о которых говорится в Статье 4, и будут обязательными для всех упоминаемых там сторон, если иное не оговорено специально или если иного не содержится в положениях национального, государственного или местного законодательства и/или регулирования, от которых нельзя отступить.

b. Банки не обязаны выполнять ни инкассовое поручение, ни инкассовые инструкции, ни какие-либо иные действия, вытекающие из этих инструкций.

c. Если банк по каким-либо причинам решит не выполнять инкассовое поручение или связанные с ним инструкции, он должен известить об этом сторону, от которой получены инкассо или инструкции, без задержки посредством телекоммуникационной связи или, если это невозможно, другим ускоренным способом.


Статья 2. Определение инкассо


Для целей настоящих Статей:

a. "Инкассо" означает операции, осуществляемые банками на основании полученных инструкций с документами, определенными в пункте (b) Статьи 2, в целях:

i. получения платежа и/или акцепта

или

ii. передачи документов против платежа и/или против акцепта,

или
